End User License Agreement

1. Acceptance of Agreement

By installing, accessing, or using the Octabiz platform (the "Service"), you ("User") agree to be bound by this End User License Agreement ("EULA") with Octasys LLC, a Kentucky limited liability company located in Louisville, Kentucky, USA ("Octabiz"). If you do not agree, do not install or use the Service.

2. License Grant

Octabiz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to the terms of this EULA and any applicable subscription plan.

3. Restrictions

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Service.
• Reverse engineer, decompile, or attempt to extract the source code.
• Use the Service to violate any law or third-party rights.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or related systems.

4. Non-Competition and Protection of Our Methods

Section 8 of our Terms of Service (Non-Competition and Protection of Our Methods) is part of this EULA, and you accept it by installing, accessing, or using the Service. In short:

• While you use the Service, and for 10 years after you stop, you will not build, sell, or help anyone build software or a service that competes with Octabiz.
• You will not copy, reverse engineer, or reuse our features, workflows, business rules, documentation, or prompts.
• If you break it, you pay our full loss, the profit made from the breach, and our legal costs, and we may ask a court to order you to stop.

If section 8 and this summary differ, section 8 of the Terms of Service applies.

5. Account & User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and promptly update it as needed.

6. Third-Party Services & Integrations

The Service may integrate with third-party services (including but not limited to QuickBooks, Plaid, Stripe, and other providers). Your use of those services is governed by their own terms and privacy policies. Octabiz is not responsible for third-party services.

7. Data & Privacy

Octabiz processes data in accordance with its Privacy Policy. You are responsible for ensuring you have the right to provide any data submitted to the Service, including data synced from connected third-party services.

8. Intellectual Property

The Service and all related intellectual property are and remain the exclusive property of Octabiz and its licensors. No rights are granted to you except as expressly set forth in this EULA.

9. Fees & Subscription

Access to certain features of the Service may require payment of fees as described in your subscription plan. Fees are non-refundable unless otherwise stated. Octabiz may change fees with prior notice.

10. Termination

Octabiz may suspend or terminate your license at any time for violation of this EULA or for non-payment. Upon termination, your right to use the Service ceases immediately. Sections intended to survive termination (including non-competition, IP, disclaimers, limitations of liability, and governing law) will remain in effect.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCTABIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

13. Indemnification

You agree to indemnify and hold Octabiz harmless from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of this EULA.

14. Governing Law

This EULA is governed by the laws of the jurisdiction in which Octasys LLC is established, without regard to its conflict of law principles.

15. Changes to this EULA

Octabiz may update this EULA from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised EULA.
