This section is a condition of using Octabiz. You accept it when you create an account, when you tick the box that asks you to accept these Terms, and each time you keep using Octabiz. If you do not accept it, do not use Octabiz.
8.1 Who this section binds
If you use Octabiz for a business, this section binds that business, its owners, and every company that controls it, that it controls, or that is under common control with it. In this section, “you” means all of them. If you use Octabiz as an individual, it binds you personally. Staff who use Octabiz only to do their job for you are bound by sections 8.3 and 8.4, not by section 8.2.
8.2 No competing for 10 years
While you use Octabiz, and for 10 years after you stop, you will not, directly or through anyone else:
- build, sell, license, or offer software or an online service that competes with Octabiz or with any of its modules, such as an ERP, accounting, inventory, point-of-sale, CRM, procurement, booking, or business-management system;
- own, invest in, manage, or advise a business that does any of the above; or
- help anyone else do any of the above.
The 10 years start on the day your last Octabiz account closes. This applies in every country where Octabiz is offered. Holding less than 2% of the shares of a publicly traded company is not a breach.
8.3 Our methods stay ours
Using Octabiz shows you how we work: our features, screens, workflows, business rules, data structures, pricing, documentation, AI prompts, the way our system produces its results, and anything else about Octabiz that is not public. This section calls all of that “our methods”. You will not:
- copy, imitate, or reproduce our methods;
- reverse engineer, decompile, scrape, or extract code, data structures, or prompts from Octabiz, except where the law expressly allows it; or
- use our methods, or anything you learned from them, to build, train, or improve a product or service for yourself or for anyone else.
This applies while you use Octabiz and for 10 years after you stop. For anything that is a trade secret, it applies for as long as it stays a trade secret.
8.4 Keeping our methods confidential
Share our methods only with people who need them to use Octabiz for your business and who are bound to keep them confidential. You are responsible if any of them breaks this section.
8.5 If you break this section
- We may suspend or close your account immediately.
- You agree that money alone cannot fully repair the harm, so we may ask a court to order you to stop, in addition to claiming money.
- You will pay us: (a) the full loss we suffer; (b) all profit that you, or anyone acting with you, makes from the breach, to the extent it is not already counted in (a); and (c) our reasonable lawyers’ fees and other costs of enforcing this section.
These remedies add to each other and to any other right we have under the law. Section 15 (Limitation of Liability) limits our liability to you, not what you owe us under this section.
8.6 If a court limits this section
We need this section to protect our methods, our confidential information, and what we have invested in building Octabiz. If a court or arbitrator decides that any part of it is too broad, lasts too long, or covers too large an area, they should enforce it as far as the law allows, for example by shortening the period, and the rest of this section stays in force.
8.7 This section continues after you leave
This section keeps applying after your account closes or your subscription ends, and after these Terms end for any reason.
